Gazeboo

1. Introduction

These Terms of Service ("Terms") govern your use of gazeboo.co.uk and the Gazeboo platform ("Gazeboo", "the platform", "the service"), operated by Daniel Clarke, trading as Gazeboo ("we", "us", "our").

By creating an account, joining the waitlist, or using any part of the Gazeboo platform, you agree to these Terms. If you do not agree, do not use Gazeboo.

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.


2. Who can use Gazeboo

You may use Gazeboo if:

  • You are at least 18 years old.
  • You are legally permitted to enter into contracts in England and Wales.
  • You are using the platform for lawful purposes.
  • You have not previously been suspended or removed from Gazeboo.

By using Gazeboo you represent and warrant that all of the above apply to you.

Gazeboo is intended for use in the United Kingdom. We make no representation that the platform is appropriate or available for use outside the UK.


3. What Gazeboo is and is not

Gazeboo is a marketplace platform. We provide the technology that enables market traders ("Traders") to discover and apply for pitches at markets, and market organisers ("Organisers") to list markets and manage applications. We also operate a public market directory accessible to visitors without an account.

Gazeboo is not a party to agreements between Traders and Organisers. When a Trader books a pitch at a market, the contract for that pitch is between the Trader and the Organiser. Gazeboo facilitates that transaction but is not responsible for the performance of either party.

Gazeboo is not an employment agency, staffing agency, or contractor. Nothing in the relationship between Traders and Organisers via the platform creates an employment, agency, or contractor relationship with Gazeboo.

Gazeboo does not verify all information. While we operate profile, listing, ratings, review, and moderation features, we cannot guarantee the accuracy of all information provided by users. Traders and Organisers are responsible for verifying information relevant to their decision to transact.


4. Account registration

4.1 Creating an account

To use most features of Gazeboo you must create an account. You can sign in using a magic link sent to your email address, Google Sign-In, or Apple Sign-In. We do not store passwords.

4.2 Account accuracy

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.

4.3 Account security

You are responsible for maintaining the security of your account. We strongly recommend enabling two-factor authentication, particularly if your account processes payments as an Organiser. Notify us immediately at [email protected] if you suspect unauthorised access.

4.4 One account per person

You may hold one account on Gazeboo. You may have both a Trader profile and an Organiser profile within that account. Creating multiple accounts to circumvent restrictions or suspensions is prohibited.

4.5 Account termination

You can close your account at any time from your account settings. A 7-day grace period applies before data is deleted, during which you can cancel the deletion by signing back in. See our Privacy Policy for details of what happens to your data on deletion.


5. Trader terms

5.1 Trader profiles

Your Trader profile represents you and your business to Organisers and the public. You are responsible for ensuring your profile is accurate and up to date, including:

  • Your business name and trading name.
  • The product categories you trade in.
  • Your pitch requirements, including dimensions, setup type, and power requirements.
  • Your public liability insurance status, expiry date, and coverage amount.
  • Your Food Standards Agency establishment number if you are a food trader.

The dimensions and requirements you declare when applying to a market are captured at the time of application. If you attend a market with materially different requirements to those declared, this may constitute a breach of these Terms and may result in account restrictions or suspension.

5.2 Applications

When you apply to a market you represent that:

  • All information in your application is accurate.
  • You hold valid public liability insurance at the coverage level declared, and it will remain valid on the market date.
  • If you are a food trader, you hold the food hygiene certification declared on your profile.
  • You intend to attend the market if your application is approved and payment is confirmed.
  • You have read and accept the market's cancellation policy.

5.3 Payment

When your application is approved you will be notified and given a payment window to complete payment. For standard applications, this is normally 24 hours. Payment is made via Stripe. The total you pay includes the pitch fee set by the Organiser and Gazeboo's service fee. The service fee is clearly displayed before you confirm payment.

Failure to pay within the payment window will result in your application expiring and the pitch being released back to the market. Repeated failures to pay after approval may result in account restrictions.

5.4 Attendance and check-in

If your booking is confirmed, you are expected to attend the market. If you cannot attend you must cancel through the Gazeboo platform. No-shows without cancellation will be recorded and may affect your reputation and future application success.

On market day, you are required to confirm your attendance via the Gazeboo check-in feature. This creates a timestamped attendance record that protects both you and the Organiser in the event of a dispute or chargeback.

5.5 Cancellations and refunds

If you cancel a confirmed booking, the refund you receive is determined by the Organiser's cancellation policy, which is displayed before you apply. The Gazeboo service fee is not refundable on Trader-initiated cancellations.

If the Organiser cancels the market, you will receive a full refund including the service fee.

5.6 Reviews

After a market you have attended, with check-in confirmed by both parties, you will have 14 days to leave a review of the market and Organiser. Reviews must be honest, based on your genuine experience, and not contain defamatory, offensive, discriminatory, or fabricated content. We moderate reviews before publication.


6. Organiser terms

6.1 Organiser profiles and market listings

As an Organiser you are responsible for ensuring all information in your market listings is accurate, including:

  • Market name, description, location, and dates.
  • Pitch types, dimensions, and pricing.
  • Amenities available, including electricity, water, and indoor or outdoor facilities.
  • Accepted trader categories.
  • Public liability insurance and food hygiene requirements.
  • Your cancellation policy.

Your first market listing may be reviewed by Gazeboo before going live. We reserve the right to remove or suspend listings that breach these Terms.

6.2 Cancellation policies

Organisers set their own cancellation policy for each market at the point of listing creation. The policy is displayed to Traders before they submit an application and is binding on both parties once a booking is confirmed.

Cancellation policies cannot be changed once the first booking for that market is confirmed.

Gazeboo provides a suggested default policy that applies automatically if an Organiser does not set their own:

Organisers may set a different policy. Whatever policy the Organiser sets is the binding agreement between them and the Trader.

Refund amounts are calculated on the pitch fee only. Gazeboo's service fee is not refunded on Trader-initiated cancellations regardless of the Organiser's policy.

6.3 Organiser cancellation

If an Organiser cancels a market, all confirmed Traders receive a full refund of the pitch fee and Gazeboo service fee regardless of the Organiser's cancellation policy. This protection cannot be waived or overridden by the Organiser's policy settings. Gazeboo will absorb any Stripe processing costs associated with the refund.

6.4 Stripe Connect

To receive payments through Gazeboo you must complete Stripe Connect account verification. This involves providing personal and business information to Stripe for identity verification purposes. Stripe is responsible for the verification process. Gazeboo is not responsible for delays or rejections in Stripe's verification.

Pitch fees paid by Traders are transferred to your connected Stripe account automatically. Gazeboo's service fee is deducted from each transaction before transfer. You receive your stated pitch fee, subject to any refunds, chargebacks, Stripe fees, or Stripe account actions.

6.5 Application management

You are responsible for reviewing applications promptly. We recommend reviewing applications within 5 business days of receipt. Approved Traders have a payment window to complete payment. Once payment is confirmed the booking is legally binding between you and the Trader.

You may approve applications at full price, apply a discount, or waive the fee entirely. Discounts and waivers require a reason which is logged. Full waivers result in Gazeboo's minimum service fee being charged to your Stripe Connect account.

6.6 Organiser conduct

You must not:

  • Misrepresent the nature, location, or amenities of your market.
  • Collect payments from Traders outside the Gazeboo platform after being introduced through Gazeboo.
  • Discriminate against Traders in violation of the Equality Act 2010.
  • Cancel markets repeatedly without genuine cause.

6.7 Reviews

After a market, with check-in confirmed by both parties, you will have 14 days to leave a review of the Traders who attended. Reviews must be honest and based on your genuine experience.


7. Payments and service fees

7.1 Service fee

Gazeboo charges a service fee on each confirmed booking. The fee depends on the Trader's plan and is shown before payment is confirmed.

The fee is calculated on the final pitch price after any Organiser discount. The total amount paid by the Trader, including the service fee, is clearly displayed before payment.

7.2 Waived bookings

Where an Organiser waives a pitch fee entirely, Gazeboo charges the minimum service fee directly to the Organiser's Stripe Connect account. The Trader pays nothing.

7.3 Payment processing

All payments are processed by Stripe. By making or receiving payments through Gazeboo you agree to Stripe's Terms of Service and Stripe Connect Account Agreement as applicable.

7.4 Failed payments

If your payment fails, your application may remain pending for a short period to allow you to update your payment method. Repeated failed payments may result in account restrictions.

7.5 Negative balances

If a dispute, chargeback, refund, or Stripe action results in a negative balance on your Stripe Connect account, Stripe may recover the debt from your future payouts. Gazeboo is not responsible for covering negative balances on user accounts.

7.6 Refunds for Organiser cancellation

If an Organiser cancels a market, all confirmed Traders receive a full refund of the pitch fee and Gazeboo service fee. This applies regardless of the Organiser's cancellation policy. Gazeboo will absorb any Stripe processing costs associated with the refund.

7.7 Refunds for Trader cancellation

Refunds for Trader-initiated cancellations are governed by the Organiser's cancellation policy, which is displayed before the Trader applies. If no custom policy has been set by the Organiser, Gazeboo's default policy applies. The Gazeboo service fee is not refunded on Trader-initiated cancellations.

7.8 Goodwill refunds

Organisers may issue goodwill refunds to Traders for up to 90 days after the original transaction. Goodwill refunds are deducted from the Organiser's Stripe Connect balance. Gazeboo's service fee is not refunded.

7.9 Taxes

You are responsible for any taxes applicable to your use of Gazeboo, including VAT and income tax. Gazeboo does not provide tax advice. Booking records on the platform may be used as supporting documentation for your tax records.


8. Gazeboo+ subscription

8.1 Gazeboo+ benefits

Gazeboo+ is an optional monthly subscription for Traders. Benefits may include priority access to Flash Pitch notifications, a reduced service fee, extended market calendar visibility, and other features described on the Pricing page.

8.2 Billing

Gazeboo+ is billed monthly via Stripe. The first payment is taken immediately on subscription. Subsequent payments are taken on the same date each month.

8.3 Cancellation

You can cancel Gazeboo+ at any time via the Stripe Customer Portal, accessible from your account settings. Cancellation takes effect at the end of the current billing period. You retain Gazeboo+ benefits until then.

8.4 Changes to Gazeboo+

We may change the price or benefits of Gazeboo+ by giving you at least 30 days' notice by email. If you do not wish to continue at the new price or with the changed benefits you may cancel before the change takes effect.


9. Off-platform transactions

You must not arrange bookings, payments, or ongoing trading arrangements outside the Gazeboo platform with any Organiser or Trader you were first introduced to through Gazeboo for a period of 12 months from the date of your first interaction on the platform.

This restriction exists to protect the platform that enables these connections to happen. Circumventing Gazeboo's service fee after being introduced through the platform is a breach of these Terms and may result in account termination.

10. Flash Pitches

10.1 What is a Flash Pitch?

A Flash Pitch is a last-minute pitch created by an Organiser when confirmed availability exists close to a market date, typically following a cancellation.

10.2 Access

Gazeboo+ subscribers may be notified of Flash Pitches before free tier Traders. The notification timing difference is at Gazeboo's discretion and may change.

10.3 Application and approval

Flash Pitches require Organiser approval in the same way as standard applications. Being notified first does not guarantee a booking. The Organiser selects which Trader to approve.

10.4 Payment window

Once approved for a Flash Pitch, Traders have a shortened payment window due to the time-sensitive nature of last-minute availability. The payment window will be clearly communicated at the time of approval.

10.5 Last Minute Hero badge

Traders who complete a confirmed Flash Pitch booking are awarded a Last Minute Hero badge. This badge is displayed on the Trader's profile and is cumulative.


11. Check-ins and reviews

11.1 Check-in

Both Traders and Organisers are required to confirm attendance via the Gazeboo check-in feature on market day. Check-in creates a timestamped record that is used for chargeback defence and to unlock the review window.

Organisers who repeatedly fail to confirm check-ins may have their listings reviewed. Traders who repeatedly fail to check in may have this recorded against their profile.

11.2 Review eligibility

Reviews are only available for a booking where both parties have confirmed check-in. The review window opens 48 hours after the market date and closes 14 days later.

11.3 Review standards

Reviews must:

  • Be based on genuine, first-hand experience.
  • Be honest and fair.
  • Not contain defamatory, threatening, or discriminatory content.
  • Not be submitted in exchange for any benefit.

We moderate reviews before publication. We may remove reviews that breach these standards. Abuse of the review system may result in account suspension.

11.4 Responses

You may post one response to each review you receive. Responses are subject to the same content standards as reviews.


12. Disputes

12.1 Direct resolution first

If a dispute arises between a Trader and an Organiser, both parties are expected to attempt direct resolution through the Gazeboo messaging system first. We provide 5 days for direct resolution before escalation becomes available.

12.2 Gazeboo mediation

If direct resolution fails, either party may escalate to Gazeboo mediation. We will review the booking record, payment history, check-in record, and message history. We aim to send a neutral mediator message to both parties within 48 hours.

Gazeboo's role as mediator is to facilitate resolution, not to act as a judge. We do not guarantee any particular outcome and our mediation is not legally binding.

12.3 Platform action

Where mediation does not resolve the dispute, or where we identify serious misconduct, Gazeboo may take platform action including warning, requiring a listing update, suspending an account, or removing an account permanently.

12.4 Financial remedies

Gazeboo is not able to award financial compensation beyond refunds available through the Stripe payment system. For financial remedies beyond this, parties may wish to pursue resolution through Citizens Advice or the Small Claims Court.

12.5 Dispute window

Disputes must be raised within 14 days of the market date. We may be unable to investigate disputes raised after this period.

12.6 Serious fraud

Where we suspect serious fraud, we may file a Suspicious Activity Report with the National Crime Agency before taking further action. This may be a legal obligation under the Proceeds of Crime Act 2002.


13. Prohibited conduct

You must not use Gazeboo to:

  • Post false, misleading, or fraudulent information in your profile or listings.
  • Impersonate any person or organisation.
  • Manipulate the ratings system, including by offering incentives for positive reviews or threatening negative reviews.
  • Transmit spam, unsolicited messages, or promotional material to other users.
  • Scrape, harvest, or extract data from Gazeboo by automated means.
  • Attempt to gain unauthorised access to any part of Gazeboo or any other user's account.
  • Upload content that is defamatory, obscene, threatening, discriminatory, or that infringes third-party intellectual property rights.
  • Use Gazeboo for any unlawful purpose.
  • Facilitate or encourage any of the above.

14. Content you post

14.1 Your responsibility

You are responsible for all content you post on Gazeboo including profile information, photos, market listings, reviews, and messages. You represent that you have all necessary rights to post the content you submit.

14.2 Licence to Gazeboo

By posting content on Gazeboo you grant us a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute that content for the purpose of operating and promoting the Gazeboo platform. This licence ends when you delete the content or close your account, except where content has been shared with other users, such as a review you left on another profile.

14.3 Photos

You must only upload photos you have taken yourself or have the right to use. Do not upload photos containing identifiable people without their consent.

14.4 Content removal

We reserve the right to remove any content that breaches these Terms or that we consider harmful to the platform or its users.


15. Intellectual property

15.1 Gazeboo IP

The Gazeboo name, logo, wordmark, platform design, and associated intellectual property are owned by Daniel Clarke trading as Gazeboo. Nothing in these Terms grants you any right to use our intellectual property without our prior written permission.

15.2 Your IP

You retain ownership of content you create and post on Gazeboo. The licence you grant us in Section 14.2 does not transfer ownership.


16. Limitation of liability

16.1 Platform availability

We aim to keep Gazeboo available but we do not guarantee uninterrupted access. We may suspend the platform for maintenance, upgrades, or reasons beyond our control.

16.2 Third-party services

Gazeboo relies on third-party services including Stripe, Supabase, and Stream Chat. We are not responsible for outages, errors, or failures in these services.

16.3 Transactions between users

We are not a party to transactions between Traders and Organisers. We are not responsible for the quality, safety, legality, or suitability of any market or pitch. We are not responsible for any loss, damage, injury, or dispute arising from a transaction between a Trader and an Organiser.

16.4 Cap on liability

To the maximum extent permitted by law, our total liability to you for any claim arising from your use of Gazeboo is limited to the total service fees you have paid to us in the 12 months preceding the claim.

16.5 Exclusions

Nothing in these Terms limits our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any liability that cannot be excluded by law.

16.6 Consumer rights

If you are a consumer and not using Gazeboo in the course of a business, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.


17. Indemnity

You agree to indemnify and hold harmless Gazeboo and Daniel Clarke from any claims, losses, damages, costs, or expenses, including reasonable legal fees, arising from:

  • Your breach of these Terms.
  • Your use of the Gazeboo platform.
  • Content you post on the platform.
  • Any transaction you enter into with another user through the platform.
  • Your violation of any applicable law or third-party rights.

18. Suspension and termination

18.1 By you

You may close your account at any time from your account settings.

18.2 By us

We may suspend or terminate your account if:

  • You breach these Terms.
  • We suspect fraud or illegal activity.
  • You repeatedly receive negative reviews or reports from other users.
  • We are required to do so by law.

We will give you notice where possible, but reserve the right to act immediately where necessary to protect the platform or other users.

18.3 Effect of termination

On account termination, your access to the platform ceases. Confirmed bookings that exist at the time of termination will be handled in accordance with the relevant cancellation policy. Your data will be handled in accordance with our Privacy Policy.


19. Changes to these Terms

We may update these Terms from time to time. We will notify you of significant changes by email at least 14 days before they take effect. Continued use of Gazeboo after the effective date of changes constitutes acceptance of the updated Terms.

If you do not accept the updated Terms you must stop using Gazeboo and close your account before the changes take effect.


20. General

20.1 Entire agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced in these Terms, constitute the entire agreement between you and Gazeboo regarding your use of the platform.

20.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible. The remaining provisions will continue in full force.

20.3 No waiver

Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce it on any other occasion.

20.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor business without your consent.

20.5 Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
